Our data is aggregated, processed, and derived from various third-party sources, public records, and proprietary analytics. While we strive for accuracy, we do not guarantee the completeness, accuracy, or timeliness of any data provided through our services.

2. Eligibility and Account Registration

2.1 Age and Capacity

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By agreeing to these Terms, you represent and warrant that you meet these requirements.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

You may not share your account, API keys, or access credentials with any third party.

3. Subscription Plans and Billing

3.1 Subscription Tiers

We offer various subscription tiers with different features, usage limits, and pricing. Current plans and features are described on our pricing page. We reserve the right to modify, add, or discontinue subscription plans at any time.

3.2 Billing Terms

  • Subscriptions are billed monthly or annually in advance based on your selected plan
  • All fees are in U.S. Dollars unless otherwise stated
  • Fees are non-refundable except as explicitly stated in these Terms or required by law
  • We use Stripe as our payment processor. By subscribing, you agree to Stripe’s terms

3.3 Usage Limits and Quotas

Each subscription tier includes specific usage limits, including:

  • Monthly ISIN quotas (unique securities you can query)
  • API rate limits (requests per minute)
  • Historical data access limits
  • AI-powered feature limits

Usage limits reset monthly according to your billing cycle. If you exceed your quota, additional access may be unavailable until the next reset or you upgrade your plan.

3.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

3.5 Plan Changes

  • Upgrades: Take effect immediately with pro-rated charges
  • Downgrades: Take effect at the end of your current billing period
  • Cancellations: Your access continues until the end of the paid period

3.6 Money-Back Guarantee

For eligible plans (as specified on our pricing page), we offer a 15-day money-back guarantee from the date of purchase. To request a refund, contact us at team@terrapinfinance.com within 15 days of your initial purchase. This guarantee applies only to first-time subscriptions, not renewals or plan changes.

3.7 Price Changes

We may change our pricing with 30 days’ notice. Price changes will not affect your current billing period but will apply upon renewal.

4. Data License and Intellectual Property

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our data and services solely for your internal business purposes or personal use, as specified by your subscription tier.

4.2 Ownership

All content, data, features, and functionality available through our services, including but not limited to:

  • Bond reference data
  • Pricing data
  • Analytics and calculations
  • API design and documentation
  • Software, text, graphics, logos, and design

are owned by Terrapin Finance Ltd, our licensors, or data providers and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

4.3 Restrictions on Use

You may NOT:

  • Redistribute, resell, sublicense, or provide access to our data to third parties
  • Use our data to create a competing product or service
  • Scrape, copy, or download data in bulk beyond your subscription limits
  • Remove or alter any copyright, trademark, or proprietary notices
  • Reverse engineer, decompile, or disassemble any aspect of our services
  • Use automated systems (other than our API) to access our services
  • Cache or store data beyond what is necessary for legitimate use under your tier
  • Publish or distribute our proprietary data on public forums, websites, or databases

4.4 Commercial Use Restrictions

Certain subscription tiers (Starter, Build, Startup) are designated for “personal and development use only.” If your tier includes this restriction, you may not:

  • Integrate our data into commercial products or client-facing applications
  • Use our data in client reports or presentations for compensation
  • Use our data for live trading or production systems

4.5 Data Attribution

5. API Terms and Acceptable Use

5.1 API Access

API access is provided solely through official API endpoints documented at https://docs.terrapinfinance.com. You must use a valid API key for all requests.

5.2 API Key Security

  • Treat your API keys as confidential passwords
  • Do not expose API keys in client-side code, public repositories, or unsecured locations
  • Rotate API keys if you suspect they have been compromised
  • We are not liable for unauthorized use of your API keys

5.3 Rate Limits

We enforce rate limits based on your subscription tier. Exceeding rate limits may result in:

ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.
